SAP Announces plan for Bonus Shares

Shareholders Will Receive Three Additional New Shares for Each Share They Already Hold

The resolution of the May 9, 2006 Annual General Meeting of Shareholders to increase the Company's subscribed capital from corporate funds (retained earnings and APIC) became effective today when it was entered in the commercial register.

Following the close of business on the stock exchange on 20-12-2006, shareholders in SAP AG will receive three additional shares for every share that they currently own. The Company's stock exchange listing will be amended accordingly with effect from December 21, 2006. The issuing of around 950 million new shares change will increase subscribed capital from its current level of approximately euro 316.9 million to approximately euro 1,267 million.. The effect will be to quadruple the number of shares outstanding, however each single share will be worth a quarter of the old value.

Shareholders will not be required to take any action as their new shares will be allocated automatically through their share accounts. These new shares will qualify for dividend with effect from the beginning of fiscal year 2006.
